Closing a foreign-owned US LLC: filings and records

Dissolving an LLC with the state does not by itself finish its federal tax obligations. Reconcile the final activity, confirm the entity's tax classification, check prior years and identify applicable final returns before treating the business as closed.

Canada-US focus, with foreign-owned US entity compliance available to owners worldwide.

What changes the answer?

Corporate elections, multiple owners, employees, sales-tax registrations and operations in several states need different closing steps. A distribution or dissolution transaction may matter even when the LLC had no sales. State cancellation and closing an IRS business account are separate processes.

Two illustrative situations

Hypothetical examples, not client stories or advice for your circumstances.

No-sales LLC returns its funding

A hypothetical foreign owner closes an unused LLC and receives the remaining bank balance. The final-year review includes that transfer and formation costs, not just the state cancellation.

Business closes but payroll remains unresolved

A hypothetical LLC stops trading with unpaid payroll filings. Closing the bank account does not complete the payroll or employee-document work.

Records for a useful review

  • Formation-state and other-state registrations
  • Final bank, card and processor statements
  • Asset disposals, liabilities and distributions
  • Payroll and sales-tax accounts; previous returns
  • State dissolution evidence and federal submission records

Start with a brief description. Do not send tax IDs, passwords or financial documents through the public inquiry form.

What an engagement can deliver

A closure-obligations checklist, reconciled closing activity and agreed final filing package. State legal filings, payroll closure and earlier-year corrections are separately identified.

What drives the fee?

States, years, assets and liabilities, employees, missing records and ownership or classification changes. We provide a written scope and fee before work begins. A fit call is not a completed tax review.

Questions business owners ask

Does state dissolution eliminate earlier IRS filings?

No. Review missing years independently of the state closure date.

Must every closing LLC file the same final return?

No. Classification, activity and applicable filing rules determine the package.

Can a no-revenue LLC still need final-year review?

Yes. Funding, owner payments and closing transfers can exist without revenue.

Should I close the bank account first?

First preserve complete statements and plan outstanding payments, refunds and transfers. Coordinate closure with the final reconciliation.

Can an EIN be reused for a different business?

Do not repurpose the old entity's EIN. Follow IRS guidance for closing the account and determining whether a new business needs a new EIN.

What about another state where the LLC was registered?

Check each registration, tax account and withdrawal requirement. Formation-state dissolution is not a universal withdrawal.

How long should I keep records?

Retention depends on the record and applicable limitation period. Preserve formation, ownership, final filings and delivery evidence; agree a retention schedule for the remaining records.
