W-8BEN-E or W-9 for a Canadian business?

A Canadian business should not sign Form W-9 simply because a US customer requests it. First identify the payee's US tax status: W-9 certifies US-person status; a foreign entity often documents foreign status with W-8BEN-E, while other W-8 forms can apply.

Canada-US focus, with foreign-owned US entity compliance available to owners worldwide.

What changes the answer?

An individual, partnership, intermediary, disregarded entity or recipient of effectively connected income may need a different form. A US EIN or bank account does not by itself make a foreign business a US person. Treaty claims require separate eligibility analysis; GST/HST is a separate Canadian question.

Two illustrative situations

Hypothetical examples, not client stories or advice for your circumstances.

Canadian corporation serving US customers

A hypothetical Canadian corporation performs consulting entirely in Canada. It reviews foreign-payee documentation and where services were performed rather than signing W-9 merely to satisfy a vendor portal.

Canadian individual contracting directly

A hypothetical Canadian sole proprietor receives the same request. An individual should not use the entity form merely because the trade name sounds like a company; confirm status and the appropriate form.

Records for a useful review

  • Legal payee name, ownership and classification
  • Customer request and proposed contract
  • Where work is performed and by whom
  • Prior W forms and any changed circumstances
  • Tax residence and support for any treaty claim

Start with a brief description. Do not send tax IDs, passwords or financial documents through the public inquiry form.

What an engagement can deliver

Review the payee and payment facts, identify the appropriate documentation path and explain unresolved withholding or treaty questions. Tax returns and legal opinions are separate scopes.

What drives the fee?

Entity type, payment categories, hybrid structures, US activity and treaty-claim complexity. We provide a written scope and fee before work begins. A fit call is not a completed tax review.

Questions business owners ask

Does having an EIN mean I should sign W-9?

No. An identifying number is not a certification of US-person status.

Should a sole proprietor use W-8BEN-E?

That form is for entities. A foreign individual generally considers W-8BEN, subject to the payment and other applicable documentation rules.

What if the portal only accepts W-9?

Ask the customer's vendor or tax team for its foreign-vendor process; do not make an inaccurate certification to pass a portal check.

Do I send W-8BEN-E to the IRS?

Generally, give it to the withholding agent or payer requesting it, not directly to the IRS.

Is every payment from the US US-source income?

No. For service income, where the services are performed generally controls source. Mixed-location work needs allocation and further review.

Can I automatically claim a zero treaty rate?

No. Confirm the income category, residence, beneficial ownership and relevant treaty conditions before claiming benefits.

Does W-8 resolve GST/HST or US state tax?

No. Those are separate analyses. A foreign-status form does not establish a Canadian zero-rating entitlement or remove state obligations.
