Form 5472 decision guide

No-revenue foreign-owned LLC filing test

No revenue and no tax due do not answer whether Form 5472 is required. The key question is whether the entity had a reportable transaction with its foreign owner or another related party during the year.

Apply these four checks in order

Check 1

Confirm the entity and owner

Is this a US entity wholly owned by one foreign person and disregarded for US income-tax purposes? That classification is treated as a reporting corporation for the limited Form 5472 rules. Corporations, partnerships and entities with elections require a different analysis.

Check 2

List every owner and related-party transaction

Review formation funding, capital contributions, distributions, loans, owner-paid formation or operating costs, property transfers, services and other amounts paid or received. The IRS definition reaches specified monetary, nonmonetary and foreign-owned disregarded-entity transactions.

A bank account with no customer deposits can still contain reportable owner activity.

Check 3

Separate zero revenue from zero reportable transactions

If a reportable transaction occurred, the foreign-owned US disregarded entity generally files Form 5472 with a pro forma Form 1120. If none occurred, an exception in the IRS instructions may apply. Keep the records supporting that conclusion instead of relying only on a zero-income statement.

Confirm the filing method and deadline

A foreign-owned US disregarded entity attaches Form 5472 to the limited pro forma Form 1120. The IRS instructions require fax or mail to the dedicated Ogden address and do not permit electronic filing for this entity type. A timely Form 7004 can request an extension.
